Terms & Conditions

1. Introduction

These Terms & Conditions (“Terms”) govern both:

  • The services provided by Aroon Fintech – Atlas (Aroon Fintech Private Limited) (“we,” “us,” or “our”); and

  • Your access to and use of our website, client panel, and related digital platforms (collectively, the “Platform”).

By using our services or accessing the Platform, you (“you,” “user,” or “client”) agree to be bound by these Terms. If you do not agree, you must not use our services or Platform.

Part A – Service Terms

2. Nature of Services

2.1 Aggregator and Facilitator Role

Aroon Fintech – Atlas acts exclusively as:
a) An aggregator of financial opportunities;
b) A facilitator connecting clients to licensed banks, non-banking financial companies (NBFCs), factoring platforms, and trade finance platforms;
c) In certain cases, an offshore introducer for international lenders and financial service providers.

2.2 No Lending or Underwriting

Aroon Fintech – Atlas:

  • Does not provide loans, credit facilities, or advances directly;

  • Does not underwrite or guarantee financial transactions;

  • Does not take deposits or hold client funds;

  • Operates under the scope of introducer or referral arrangements with duly licensed financial institutions, in compliance with applicable laws.

2.3 International Trade Finance Scope

Our Platform facilitates introductions and connections for, but is not limited to:

  • Export factoring;

  • Import factoring;

  • International trade finance solutions;

  • Other financing solutions as offered by licensed third-party providers.

3. Fees and Payments

3.1 Lender-Controlled Fees

  • Any one-time onboarding fees, processing charges, due diligence costs, or other transaction-related fees are determined and collected solely by the respective lender, financier, or licensed entity.

  • These amounts are payable directly to the respective third-party provider under their own policies.

3.2 No Handling of Client Funds

Aroon Fintech – Atlas does not at any time take custody of, hold, process, or handle client funds for financing or related purposes.

3.3 Non-Refundable Nature of Third-Party Fees

Any fees paid directly to a lender, financier, or third-party service provider are subject solely to that provider’s refund and cancellation policies. We have no authority to reverse, refund, or amend such payments.

4. User Obligations

By using the Platform, you agree to:

  • Provide complete, accurate, and truthful information in all dealings;

  • Comply with all applicable domestic and international laws;

  • Conduct independent due diligence before entering into any financial transaction;

  • Bear sole responsibility for any legal, tax, compliance, or regulatory obligations in your jurisdiction.

5. Regulatory Compliance

5.1 Laws and Standards

Users must comply with all relevant regulations, including but not limited to:

  • International Chamber of Commerce (ICC) Rules applicable to trade finance;

  • Know Your Customer (KYC) and Anti-Money Laundering (AML) requirements;

  • Export-Import (EXIM) trade laws of all relevant countries;

  • Sanctions and embargoes issued by the United Nations (UN), Office of Foreign Assets Control (OFAC), European Union (EU), and other applicable authorities.

5.2 Offshore Introducer Activities

When acting as an offshore introducer:

  • Our role is strictly limited to introducing you to a licensed financial service provider;

  • We are not a party to any resulting agreements;

  • We are not responsible for the negotiation, execution, performance, or enforcement of any such agreements.

6. No Liability

6.1 Relationship with Lenders

Any contractual obligations, rights, and liabilities exist solely between you and the respective licensed financial institution or third-party provider.

6.2 No Guarantee

Aroon Fintech – Atlas does not guarantee:

  • Approval of financing applications;

  • Specific rates, terms, or timelines;

  • The performance or conduct of any third-party provider.

6.3 Limitation of Liability

To the fullest extent permitted by applicable law, Aroon Fintech – Atlas, its affiliates, directors, employees, and agents shall not be liable for any:

  • Direct, indirect, incidental, consequential, special, punitive, or exemplary damages;

  • Loss of profits, business opportunities, data, goodwill, or reputation;

  • Acts, omissions, defaults, or delays by any third-party provider.

7. Indemnification

You agree to indemnify, defend, and hold harmless Aroon Fintech – Atlas, its affiliates, officers, employees, and agents from and against any claims, damages, losses, liabilities, or expenses arising from:

  • Your breach of these Terms;

  • Your violation of applicable laws or third-party rights;

  • Any transaction or arrangement entered into with a third-party provider.

8. Disclaimer

Aroon Fintech – Atlas is not a lender, underwriter, deposit-taker, or licensed financial institution. We act solely as an aggregator, facilitator, and in some cases, offshore introducer, connecting clients with licensed third-party financial institutions.
All fees (including one-time onboarding fees) are determined and collected by the respective lender/financier. We assume no responsibility for such fees, the performance of the lender, or the outcome of any transaction.

Part A – Platform Terms

9. Eligibility

You may only use the Platform if:

  • You are at least 18 years old (or legal age in your jurisdiction);

  • You have the legal capacity to enter into binding agreements;

  • You are using the Platform in compliance with applicable laws and regulations.

10. Account Registration and Security

10.1 Account Creation

  • Certain features require you to register and create an account on the Platform.

  • You agree to provide accurate, current, and complete information during registration.

10.2 Account Responsibility

  • You are responsible for maintaining the confidentiality of your login credentials.

  • You must promptly notify us of any unauthorized use or security breach.

  • You are responsible for all activities conducted under your account.

11. Permitted and Prohibited Uses

11.1 Permitted Use
The Platform may only be used for lawful purposes in connection with financial facilitation, introducer services, and aggregator activities as described in our main Terms & Conditions.

11.2 Prohibited Activities
You agree not to:

  • Use the Platform for any fraudulent, unlawful, or misleading purposes;

  • Upload, transmit, or distribute harmful code, malware, or viruses;

  • Attempt unauthorized access to our systems, servers, or networks;

  • Misrepresent your identity or affiliation;

  • Copy, modify, or distribute any content without prior written consent;

  • Use automated bots, scrapers, or similar tools to extract data without permission.

12. Intellectual Property

12.1 Ownership
All content, design, trademarks, and intellectual property on the Platform are owned or licensed by Aroon Fintech – Atlas.

12.2 Limited License
We grant you a non-exclusive, non-transferable, revocable license to access and use the Platform strictly in accordance with these Terms.

12.3 Restrictions
You may not copy, reproduce, modify, distribute, sell, or create derivative works from any content without our express written permission.

 

13. Data Privacy and Usage

13.1 Privacy Policy
Your use of the Platform is also governed by our Privacy Policy, which explains how we collect, store, and process data.

13.2 User Data
You grant us the right to process and share your data with licensed financial institutions for the purpose of providing aggregator, facilitator, and introducer services.

14. Disclaimers

  • The Platform is provided on an “as is” and “as available” basis without warranties of any kind.

  • We do not guarantee uninterrupted, error-free, or secure access to the Platform.

  • We are not responsible for losses arising from system failures, unauthorized access, or external cyber-attacks.

15. Limitation of Liability

To the fullest extent permitted by law, Aroon Fintech – Atlas, its affiliates, officers, employees, and agents shall not be liable for:

  • Any direct, indirect, incidental, or consequential damages;

  • Loss of profits, data, or business opportunities;

  • Any third-party conduct or content, including financial institutions connected via the Platform.

16. Suspension and Termination

We may suspend, restrict, or terminate your access to the Platform without notice if you:

  • Breach these Terms;

  • Engage in prohibited activities;

  • Use the Platform in a way that harms our operations or reputation.

17. Changes to Terms

We reserve the right to update or modify these Terms at any time. Continued use of the Platform after changes constitutes your acceptance of the revised Terms.

 

18. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes will be subject to the exclusive jurisdiction of the courts in Haryana, India.
